Head of Legal & BCR

I. STRATEGY DEVELOPMENT:
• Develop & implement operation goals & initiatives in alignment with business objectives for the effective legal licensing management, business legal & compliance counselling & supporting.
• Develop annual compliance plan & budgeting in line with business strategies & business long term growth objectives.

II. LEGAL

1. Ensuring all the operating activities of Amway Vietnam complies with laws and other prevalent regulatory provisions.
   • Lead team to manage the legal risks and protect the company’s interest.
   • Study and monitor existing and new laws/ regulations, conduct analysis, and provide insightful recommendations to assure the company's compliance with applicable laws/regulations.
   • Evaluate proposals, action plans and other situations that may have legal impact and determine pertinent course of action as required.
   • Conduct legal review necessary to business initiatives for compliance on advertising, product circulation, Direct Selling activities, etc.

2. Lead contract management activities in legal compliance
   • Prepares and / or reviews contracts, letters of agreement and other documents to ensure its legal compliance.
   • Set up contract management system, ensure the security of company’s transaction and improve the contract approval procedure.

• Review the various business supporting materials printed or published by the company and ensure legal compliance.
• Provide legal support for disputes arising from contract implementation.

1. Manage business operation licenses application & renewal in due time.
   • Manage the various company and branch licenses, including the application, revision, renewal, archive and annual audit, etc.
   • Maintain the relevant charter and memo related to the licenses.
   • Qualify the amendment and approval for ROC, Sale and Marketing plan, Distributor contracts, etc. according to the MLM license.

2. Provide legal support and consultancy in handling business legal issues & crisis effectively.
   • Manage lawsuits and arbitrations arising during business operations, including product liability, serious advert events, labor dispute and various emergent legal issues.
   • Provide follow-up on legal issues and make recommendations for system improvement.
   • Provide support to government affairs, media, industry affairs, reputation, and crisis management in close coordination with functional departments and Global Legal.
   • Lead the government audit and local audits activities.

3. Provide legal advice for business development, ROC management and registration.
   • Provide legal consultancy to business functions for promotion, advertising, event organization, logistics, new office opening, etc.
   • Review and modify the ROC in compliance with new law regulations on MLM and practical activities.
   • Lead Rule Team in handling violation of Distributors

III. BUSINESS CONDUCTS & RULES (BCR):

• Develop annual compliance plan & budgeting in line with business strategies & business long-term growth objectives.
• Manage Amway’s rules of conduct & compliance management to protect business long-term security, sustainable growth as well as enhance its reliable reputation.
• Lead rules of communication conduct, training re-enforcement & non-compliance handling operations to Distributors force
• Increasing Distributors’ awareness on ethical business building and compliance with Amway rules of conduct policies

IV. STAFF MANAGEMENT:
• Develop and lead a highly performing Legal & Business Compliance team.
• Coach, guide and develop staff in both technical aspects, competency, and leadership skills.

• Recruit the appropriate & qualified team member and build the strong legal team & maximize the resources effectively and efficiently.
• Manage staff’s performance, the use of the right motivation and reward system effectively.
