The Senior Specialist Group Governance Legal will support the governance and legal administration of Sandoz AG and other Swiss legal entities, ensuring compliance with Swiss corporate law requirements and applicable governance standards. The role supports the operation of Sandoz AG as a Swiss-headquartered company through close collaboration with internal and external stakeholders, while contributing to selected global governance activities and the continued development of governance frameworks, controls and best practices.

Your Key Responsibilities:

Your responsibilities include, but not limited to:

  • Support, maintain and further develop Swiss corporate governance and legal administration activities for Sandoz AG and other Swiss legal entities, including corporate actions, resolutions, filings, corporate records and related legal formalities.
  • Coordinate with Swiss authorities, notaries, commercial registers, external counsel and service providers in connection with governance matters.
  • Coordinate and oversee activities relating to representation rights, authorized signatories and Powers of Attorney, including related governance frameworks, records, processes and stakeholder guidance.
  • Coordinate governance-related KYC, AML, due diligence and corporate information requests concerning Swiss legal entities.
  • Coordinate document execution processes, certifications, notarizations, apostilles, legalizations and related corporate formalities.
  • Support the implementation, maintenance, communication and continuous improvement of selected governance frameworks and policies, including the Global Signature Policy and Global Contracts Management Policy.
  • Deliver governance-related communications, training and awareness initiatives to relevant stakeholders.
  • Support governance controls, monitoring activities and continuous improvement initiatives across the organization.
  • Contribute to selected global governance, legal entity management and compliance matters as required.
  • Provide incidental support in procurement-related activities, financial administration and other governance-related operational matters.

What you’ll bring to the role:

Essential and Desirable Requirements:

  • University degree in Law, Business Administration, Corporate Governance, or a related discipline.
  • Experience in corporate governance, corporate legal, company secretarial, legal administration, or a comparable governance-related function.
  • Good understanding of Swiss corporate law and governance requirements.
  • Ability to manage governance processes and collaborate effectively with a broad range of internal and external stakeholders in an international environment.
  • Strong organizational, coordination, and execution skills, with a pragmatic and solution-oriented approach.
  • Fluent in German and English, both written and spoken.
